Yes, PokerTracker 3 is a major re-release of the PokerTracker software therefore you will need to purchase an upgrade.

If you received the above error message and you are sure that you have entered your correct address, we simply return what the bank provides us. If the transaction failed then no money was withdrawn from your account. Your bank may show these failed transactions as temporarily pending which would allow us to force capture payment (send it for manual review).
We DO NOT automatically force capture credit card payments therefore no money will be withdrawn from your account. These pending transactions will eventually be removed from your credit card account and no money will be withdrawn.

Your PostgreSQL password was chosen when you initially installed PostgreSQL (whether by the PT3 installer or manual installation).

Yes. However, each virtual machine installation counts as one of your two usages per registration code regardless if they are on the same physical computer.
If you install PokerTracker on your computer then install it on a virtual machine on the same computer this would count as the maximum of two allowed usages per registration code.
